These terms govern your use of vastra.co.in and any purchase you make from Vastra Textiles Pvt. Ltd., a company registered in India with its place of business at 214, Millennium Textile Market, Ring Road, Surat, Gujarat 395002, India. By creating an account, placing an order or requesting a quotation, you agree to them. Please read the Privacy Policy, Shipping Policy and Returns & Refunds Policy alongside these terms — together they form the contract between us.
Who may use the platform
- You must be at least 18 years old and capable of entering into a binding contract under the Indian Contract Act, 1872.
- If you register a trade (B2B) account you confirm that you are authorised to bind the business you name, and that the GSTIN and PAN you supply belong to it.
- You are responsible for everything done through your account. Keep your password confidential and tell us immediately if you suspect unauthorised use.
- We may suspend or close an account that supplies false information, abuses the RFQ or returns process, or is used for resale in breach of an agreed trade agreement.
Products, colour and hand-made variation
We sell natural-fibre and hand-crafted textiles. Handloom weave, hand block printing, natural dyeing and zari work vary from piece to piece — slubs, minor irregularities in the weave, and small differences in motif placement are characteristics of the craft, not defects.
Screen rendering also changes how a colour reads. We photograph in daylight and describe shades honestly, but we cannot guarantee that a colour on your screen matches the cloth exactly. For colour-critical work, order a swatch before committing to a bulk quantity.
Pricing, MOQ and wholesale tiers
- All prices are in Indian Rupees (INR).
- Retail prices are shown inclusive of applicable GST unless the product page states otherwise; the tax component is itemised on your invoice.
- Wholesale prices are quoted per unit and are exclusive of GST, which is added at checkout at the rate applicable to the HSN code of the goods.
- Fabric sold by the metre and products carrying a minimum order quantity (MOQ) can only be ordered at or above that quantity.
- Tiered wholesale pricing applies automatically once the quantity in your cart reaches a tier threshold. Where a company price book applies to your account, the price you see already reflects it.
- We correct pricing and stock errors. If an obvious error affects an order you have placed, we will contact you and you may confirm at the corrected price or cancel for a full refund.
Quotations and RFQs
A quotation issued against a request for quotation (RFQ) is an invitation to buy on the terms and for the validity period stated on it, subject to stock remaining available. Prices, lead times and payment terms on an expired quotation are not binding on us. Accepting a quotation converts it into an order on these terms.
How an order is formed
- You place an order and receive an order confirmation. This acknowledges receipt — it is not our acceptance of your offer.
- We verify stock, payment and, for trade orders, credit terms.
- The contract is formed when we dispatch the goods, or when we notify you that the order is accepted, whichever happens first.
- If we cannot accept an order — stock, payment failure, an address we cannot serve, or a suspected fraudulent order — we will tell you and refund any amount already collected.
Payment
- We accept UPI, credit and debit cards, net banking and wallets through our payment gateways, and NEFT/RTGS bank transfer for approved trade accounts.
- Card and UPI details are handled entirely by the gateway. We store only a payment reference and status.
- Where credit terms have been agreed in writing for a trade account, invoices are due within the agreed number of days from the invoice date. Overdue invoices may attract interest at 1.5% per month and may cause further orders to be held.
- Advance payment may be required for made-to-order, custom-dyed or custom-printed goods.
GST, invoicing and e-way bills
- Every order is invoiced with GST at the rate applicable to the HSN code of the goods.
- The place of supply is determined by the shipping address. Supplies within Gujarat carry CGST + SGST; supplies to any other state carry IGST.
- To claim input tax credit, enter a valid GSTIN on your trade account before placing the order. We cannot re-issue an invoice to add a GSTIN after it has been filed in our returns.
- Freight, where charged, forms part of the taxable value of a composite supply and is taxed at the same rate as the goods it carries.
- Consignments above the statutory threshold move on an e-way bill raised by us or by our transporter.
Delivery, risk and title
Delivery timelines are set out in our Shipping Policy and are estimates, not guarantees. Risk in the goods passes to you on delivery to you or to a person at your delivery address. Title passes when we have received payment in full.
Cancellation, returns and refunds
You may cancel an order before dispatch from your account or by contacting us. Once dispatched, cancellation is handled as a return. Return eligibility, non-returnable categories and refund timelines are set out in the Returns & Refunds Policy, which forms part of these terms.
Reviews and content you post
- Post only reviews of products you have actually bought, and only content you own or have permission to use.
- Do not post anything unlawful, defamatory, obscene, misleading, or infringing of another person's rights.
- You grant us a non-exclusive, royalty-free licence to display, reproduce and adapt your review and any photographs attached to it on the platform and in related marketing.
- We may remove content that breaches these rules, and we publish reviews without editing their substance.
Intellectual property
All designs, prints, photographs, copy, the Vastra name and the platform software are owned by us or licensed to us. You may not reproduce our designs or imagery, scrape the catalogue, or use our marks without written permission. Buying cloth does not transfer any right in the design printed or woven into it beyond the resale of the goods themselves.
Acceptable use
- Do not attempt to gain unauthorised access to any part of the platform, another user's account, or our infrastructure.
- Do not use automated tools to scrape, harvest prices, or place bulk orders except through an integration we have agreed to.
- Do not interfere with the platform's operation or introduce malicious code.
Warranties and liability
We warrant that goods will match their description and be free from manufacturing defects at delivery. Nothing in these terms limits your rights under the Consumer Protection Act, 2019, or excludes liability for fraud, death or personal injury caused by our negligence.
Subject to that, we are not liable for indirect or consequential loss, loss of profit, loss of production or loss of contracts, and our total liability arising out of any order is limited to the amount you paid for that order.
Force majeure
We are not liable for delay or failure caused by events beyond our reasonable control, including strikes, transport disruption, power or yarn shortages, floods, epidemic, and acts of government.
